Cualquier demanda que UFS o el usuario interpongan, basada o resultante en el presente Acuerdo, deberá presentarse exclusivamente ante el Tribunal Federal del Distrito Sur de Nueva York o ante el Tribunal Estatal del mismo Distrito Sur de Nueva York. No obstante lo previsto en cualquier otra disposición de este Acuerdo, cualquier violación del presente Acuerdo por el usuario puede causar perjuicio irreparable a UFS. En este caso, UFS está facultada para acudir a una corte con jurisdicción competente para obtener una medida cautelar u otra orden para proteger sus derechos, en tanto la corte de Nueva York emita una decisión final.
Si por cualesquiera razón, algún término o condición de este Acuerdo se considerara sin validez legal, dicha falta de validez legal no afectará ningun otro término o condición del mismo y el presente Acuerdo será interpretado como si esa condición o cláusula nunca se hubiese puesto. Este Acuerdo constituye el entendimiento total entre UFS y el usuario con respecto a su objeto.

6. Governing Law; Invalidity of Separable Provisions; Entire Agreement. This Agreement shall be construed and
governed in accordance with the laws of the State of New York, U.S.A., regardless of the place or places of its physical
execution and performance. Any actions brought by UFS or user based on or arising out of this Agreement shall be
brought exclusively in the Federal District Court for the Southern District of New York or in a state court located in said
district. If any term or provision of this Agreement is for any reason held to be invalid, such invalidity shall not affect any
other term or provision, and this Agreement shall be interpreted as if such term or provision had never been contained in
this Agreement. This Agreement contains the entire understanding of UFS and user with respect to its subject matter.
